Mr. Suchitta Koley ( Partner ) FCS, FICA

Suchitta Koley, is a Graduate in Science from St John's College, Agra and a Fellow Member of the Institute of Company Secretaries of India, and is presently occupied as a Company Secretary in Whole-time Practice since September 1991, providing Consultancy Services in Corporate Law and Issue matters to the Industry, including representing them at the MRTP Commission and Company Law Board and other Government Authorities. Mr Koley is also on the Panel of Arbitrators of the Indian Council of Arbitration.

Apart from being a visiting Faculty for 'Corporate Laws' at the Indian Law Institute, New Delhi for their "Diploma Course in Corporate Laws and Administration", since 1999 and LLM program for the past 4 years and National Institute of Financial Management, Faridabad for their "MBA Curriculum for Civil Services Officers", since 2000 is also the Faculty for 'Corporate Laws and Secretarial Practice' at the Northern India Regional Council of The Institute of Company Secretaries of India (NIRC of ICSI), since 1992; Mr Koley is also one of the faculty for the Secretarial Modular Training Program (SMTP), for the Final Qualified Students of the Institute of Company Secretaries of India (ICSI) who are about to enter as Members of the ICSI, organised at Delhi and Noida by the NIRC of ICSI, since 1992.

He has also presented papers in Seminars organized by various Institutions from time to time and has co-authored the book on "Producer Companies".

Prior to entering the profession of Company Secretaries as an independent professional, Mr Koley has held various positions in the Industry, the last being as Company Secretary & Finance Controller with Asahi India Glass Limited, one of the six Joint Ventures of Maruti Udyog Limited, for a period of almost five years. At Asahi, in addition to the Company Secretarial and Finance & Accounts and Administration matters, Mr Koley was also looking after Materials, Imports, Excise and Sales Tax and also was deeply involved in the development of Computerisation of various Functional Areas of Management.

Earlier, Mr. Koley was with Uniproducts (India) Limited (UIL), where he was engaged as Company Secretary & Manager Accounts for almost three years. Mr Koley had been associated with the Company from its formative stages and was responsible for the process of implementation of the Project.

Mr. Koley has engaged in various professional assignments which interalia include various Company Law in general and with specific reference to Company Law Consultation in general including matters including conduction of General Meetings, Resolution by Postal Ballot of Client Companies, Matters before Central Government, Company Law Board, Regional Director and Registrar, for their approvals and matters relating to Oppression & Mismanagement, Compounding of offences, Conducting Search at the Office of the Registrar, Securities Audit under various Laws and Guidelines Mergers / Amalgamations / Takeovers of Companies, Approvals under the Foreign Exchange Laws in various matters, including Foreign Collaborations, Matters relating to Issue of Capital, including Private Placements, Appearances before CLB, MRTP Commission, Consumer Courts, Arbitration Matters, Matters relating to Societies and Trusts, Matters relating Patents / Trademarks / Copyright / Geographical Indication

Mr. Deepak Gupta ( Partner ) FCS, AICWA, LLB

Mr. Deepak Gupta is fellow member of Institute of Company Secretaries of India, Associate member of Institute of Cost and Works Accountants of India and graduated in law and began his career in 2000 as Company Secretary in Renasonic e-Solutions Limited, an International Call Centre, engaged in providing IT enabled Services to the International Clients. He worked for 2 years and he has worked in the field of Corporate Finance, Setting up of Call Centre, Dealt with STPI, Excise & Custom Department, Sales Tax Department, Registrar of Companies, Bank and Other Financial Institutions etc. In the year 2002, he started practice of Company Secretary and worked in the field of Corporate Law and later on established DR Associates, as Partnership Firm of Company Secretaries. Mr. Deepak Gupta has worked in the field of Corporate Laws, SEBI related laws, Foreign Exchange Laws.

Apart from doing various assignments in corporate sector, Mr. Deepak Gupta has acted as Scrutinizer in the Annual General Meeting of SM Telesys Limited to be conducted under the order of Hon'ble Company Law Board and Hon'ble High Court of Rajasthan. He also acted as scrutinizer of Postal Ballot, e-Voting and Poll of various Listed Companies. He also appeared before the Statutory Tribunals before the Company Law Board and Regional Director (Northern Region), Ministry of Company Affairs on behalf of various clients like adidas, IBM Daksh etc. in the matter of various provisions under the Companies Act, 1956. He also successfully executed the various assignments in the field of Corporate Restructuring like Mergers and also executed various assignments for approval of the Central Government required under various provisions of Companies Act, 1956 like Section 211, 212, 269, 295, 297 etc. He is also involved in the various assignments of Foreign Investment relating to handling Foreign Direct Investments. He is involved in ensuring Compliance of Listing Agreement for various Listed Companies and Listed Bank and also ensuring the compliances under various SEBI Rules and regulations. He has delivered lectures on various issues on Company Law in Patel Nagar Study Circle meeting of Chartered Accountants. He also authored the book named "Issue of Shares for Unlisted Companies" of Taxmann publication

Mr. Rajesh Lakhanpal ( Partner ) FCS

Mr. Rajesh Lakhanpal is fellow member of Institute of Company Secretaries of India and began his career in the year 2003 as Practicing Company Secretary, and was closely associated with B. Bhushan & Co., Chartered Accountants, engaged in providing Professional Services in various corporate law matters, like in BIFR Matters, Corporate Restructuring, Secretarial Matters, RBI matter, Stock Exchange and SEBI related matters, Incorporation of wholly owned subsidiary companies for foreign Companies, guarantee company, Section 25 Company, matters relating to Trade mark, Copyrights. Later on he formed along with Mr. Deepak Gupta, DR Associates, a partnership firm. He has handled various assignments on behalf of his clients in the field of Foreign Direct Investments and issuing of various securities like Shares, Compulsorily Convertible Debentures and other securities to the foreign nationals and entities and is also involved in handling Compounding Matters with Reserve Bank of India, Delhi and Mumbai. He is also involved in liasioning for FIPB approvals. Mr Rajesh Lakhanpal has also handled share transfers from Resident to Non – resident and vice versa, He is also involved in Due Diligence under Companies Laws and Foreign exchange laws of various Companies. He has also executed various assignments for approval of the Central Government required under various provisions of Companies Act, 1956 like Section 17, 211, 212 and 314, 629. He is also involved in handling various assignments relating to Mergers and amalgamations, shifting of registered office from One state to another, holding Board Meetings, incorporation of Companies Overseas. He has also handled assignments relating to registration of societies, including taking approvals from Delhi Govt. and from Central Government for the formation of societies, wherever required, trusts partnership deeds etc. he has also handled Show cause Notice issued Under contravention of various section of the Companies Act on behalf of various clients, He is also handling various assignments under Foreign Contribution Regulation Act for his clients. He has also act as Scrutinizer for postal ballot process for his various clients and further involved in e – voting process for listed companies. Mr. Rajesh Lakhanpal has also the exposure of forming One Person Company (OPC), Limited Liability partnership (LLP).
